Terms of Service

1. The Service

Sorec is a professional trust network based on peer recommendations and trust relationships. Access is currently invitation-only. Features may change, be added, or removed as the product evolves.

2. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. You may join only through a valid invitation or an approved onboarding path. You are responsible for ensuring that your use complies with applicable laws.

3. Your account

You must provide accurate information and keep your account credentials secure. You are responsible for activity under your account. Notify us promptly at contact@sorec.io if you suspect unauthorized access.

If you sign in with Google, the email address associated with your Google account must match the email address of your Sorec account where required by the Service.

4. Acceptable use

You agree not to misuse the Service. Without limitation, you must not: violate laws or third-party rights; impersonate others; harass, threaten, or defame anyone; upload malware or attempt to disrupt the Service; scrape or reverse engineer the Service except as permitted by law; use disposable or fraudulent contact information; or use the Service for unsolicited marketing or spam.

We may investigate violations and suspend or terminate accounts that harm users, the Service, or our community.

5. User content and recommendations

You retain ownership of content you submit, including recommendations and profile information. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your content solely to operate, promote, and improve the Service.

You represent that you have the rights to the content you submit and that your recommendations and trust actions reflect your honest professional judgment to the best of your knowledge.

6. Google integrations

Optional Google features, including sign-in and contact matching, are subject to Google’s terms and policies in addition to these Terms. You may revoke Google access at any time from your account settings.

Our Privacy Policy describes how we handle Google user data, including our compliance with Google’s API Services User Data Policy.

7. Identity verification

Some features may require identity verification through Stripe Identity or another provider. Verification is optional unless we clearly state otherwise for a specific feature. Third-party verification is subject to that provider’s terms and privacy policy.

8. Our intellectual property

The Service, including its design, software, branding, and documentation, is owned by Winvest AI, Inc dba Sorec or its licensors and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

9. Third-party services

The Service relies on third-party providers such as Supabase, Vercel, Google, Stripe, and email/AI vendors. Your use of those services through Sorec may also be subject to their terms. We are not responsible for third-party services outside our reasonable control.

10. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or if we discontinue the Service. Provisions that by their nature should survive termination will survive, including disclaimers and limitations of liability.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Recommendations and trust signals on Sorec reflect user opinions. We do not guarantee the accuracy, completeness, or suitability of any profile, recommendation, or relationship displayed on the Service.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINVEST AI, INC DBA SOREC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) USD 100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnity

You agree to indemnify and hold harmless Winvest AI, Inc dba Sorec from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

14. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms, except where applicable law requires additional consent.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.

Except where prohibited by applicable law, you agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction and venue.

If you are a consumer in a jurisdiction that grants you mandatory local protections, those protections remain available to you to the extent required by law.
